Terms and Conditions for the Use of Decision.Help
These terms form a legal contract between you and the University of Leeds ( the University ). It governs our relationship relating to your use of the Decision.Help website and the decision-making tool ( the Tool ) the https://decision.help/ website hosts.
Please read these terms and conditions carefully before continuing to use the Tool.
1. Who we are and how to contact us
1.1. https://decision.help/ ( the Website ) is a site owned and operated by the University. The University is a higher education institution incorporated by Royal Charter (registration number RC:000658) at Woodhouse Lane, Leeds, LS2 9JT.

2. Using the Tool
2.1. By using the Tool, you confirm that you accept these terms of service and that you agree to comply with them.
2.2. If you do not agree to these terms, you must not use the Tool.
2.3. The University recommends that you print a copy of these terms for future reference.
3. Other terms that apply
3.1. The University is the Data Controller for the information you provide. We have a legitimate interest in processing your data so that the Site can administer the service.
3.2. If you have any questions about how your data will be used/your rights as a data subject, please contact support@decision.help
3.3. The identifiable data that you provide to create an account will be securely stored within the UK. Identifiable data will be deleted after 3 years, following entry of that data onto the Site, provided that you have not used the Site in that period. You can delete your account with the Site at any time.
3.4. Whilst your information will not be routinely reviewed it will be visible to staff administering the tool, including those working for 3rd parties.
3.5. The data that you enter into the decision-making element of the tool will be treated as non-identifiable and maybe re-used for analysis and marketing purposes. Please ensure that you do not include any identifiable or sensitive data into the decision-making element of the tool.
4. Changes to these terms
4.1. The University may amend these terms from time to time. Every time you wish to use the Tool, please check these terms to ensure you understand the terms that apply at that time.
4.2. We may update and change the Website or the Tool functionality from time to time.
5. Suspension or withdrawal of Website/Tool
5.1. The Website and the Tool are available free of charge.
5.2. The University does not guarantee that the Website or the Tool, or any content on it contained on either, will always be available or be uninterrupted. The University may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. The University will try to give you reasonable notice of any suspension or withdrawal.
5.3. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of service and other applicable terms of service, and that they comply with them.
6. Transfer of this Agreement
6.1. The University may transfer its rights and obligations under these terms to another organisation. The University will tell you in writing if this happens and will ensure that the transfer will not affect your rights under the contract.
7. Website User Location
7.1. Our site is hosted in the United Kingdom but can be used by people residing across the world. The University does not represent that content available on or through our site is appropriate for use or available in other locations.
8. Account safety
8.1. To use the Tool, you can either do so as a guest or by creating an account.
8.2. To create an account, you will need to provide your email address, and this will become your username. You will be required to create a password. As part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
8.3. If you do not choose to create an account, you will still be able to use the Tool, but you will not be able to retrieve or revisit a decision.
8.4. The University has the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time if, in the University s reasonable opinion, you have failed to comply with any of the provisions of these terms of service.
8.5. If you know or suspect that anyone other than you know your username or password, you must promptly notify the University at the email address provided in paragraph 1.2.
9. Material on the Website and the Tool
9.1. The University is the owner or the licensee of all intellectual property rights on both the Website, and in the material published on it including the methodology and any know-how associated with the Tool. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
9.2. You may print off a copy, and may download extracts, of any page(s) from the Website or outputs from the Tool for your personal use. Where you are a business user or non-consumer, you may draw the attention of others within your organisation to content posted on the Website.
9.3. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
9.4. Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged including graphics generated by the Site.
10. No text mining or web scraping
10.1. You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):
10.1.1. Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or any data, content, information or services accessed via the same.
10.1.2. Any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations.
10.2. The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
10.3. You shall not use, and we do not consent to the use of, the Website, the Tool or any data published by, or contained in, or accessible via, the Website or any services provided via, or in relation to, our site for the purposes of developing, training, fine-tuning or validating any AI system or model.
10.4. This clause will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
11. Rules about linking to the Website
11.1. You may link to the Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
11.2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement by the University where none exists.
11.3. You must not establish a link to our site in any website that is not owned by you.
11.4. The Website must not be framed on any other site, nor may you create a link to any part of our site other than the home page.
11.5. The University reserves the right to withdraw linking permission without notice.

12. Acknowledgements
12.1. The Site was developed, and it is continuously improved, at Leeds University Business School . Its development was supported by the UK Engineering and Physical Sciences Research Council (EPSRC) grant EP/V050990/1 within project FLEXICHEM : Flexible Digital Chemical Manufacturing Through Structure/Reactivity Relationships.
13. Uploading content to our site
13.2. Subject to clause 13.1 above the University has the right to disclose your identity to anyone who is claiming that any content posted or uploaded by you to our site violates their intellectual property rights or their right to privacy.
14. Rights to material you upload
14.1. When you upload content into the Tool, you are granting the University the following right to use that content:
14.1.1. A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by the Website and across different media including to promote our Website and the Tool therein.
15. Non-reliance
15.1. The content on the Website and any output provided to you by the Tool are for general information only.
15.2. Outputs from the Tool are not intended to amount to advice on which you should rely.
15.3. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of any outputs of the Tool.
15.4. Although the University makes reasonable efforts to update the information on our site, the University makes no representations, warranties or guarantees, whether express or implied, that the content on the Website or the Tool are accurate, complete or up to date.
16. 3rd party Website links
16.1. Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
16.2. We have no control over the contents of those sites or resources.
17. Viruses
17.1. The University does not guarantee that the Website or the Tool will be secure or free from bugs or viruses.
17.2. You are responsible for configuring your information technology, computer programs and platform to access our site. You should use your own virus protection software.
17.3. You must not misuse the Website or the Tool by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interacting with our site or any part of it. You must not attempt to gain unauthorised access the Website, the Tool, the server on which our site is stored or any server, computer or database connected to the Website site or any other equipment or network connected with the Website.
17.4. You must not interfere with, damage or disrupt any software used in the provision of the Website, the Tool, or any equipment or network or software owned or used by any third party on which this Website relies in any way.
17.5. You must not attack the Website or Tool via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. The University will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website and the Tool will cease immediately.
18. Our responsibility to you
18.1. Whether you are a consumer or a business user the University does not exclude or limit in any way its liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
18.2. If you are a business user, the following section applies:
18.2.1. The University excludes all implied conditions, warranties, representations or other terms that may apply to the Website, the Tool or any content on either.
18.2.2. The University will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: (a) use of, or inability to use, our site; or (b) use of or reliance on any content displayed on our site.
18.2.3. The University will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.
18.3. If you are consumer user, the following section applies:
18.3.1. We only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
18.3.2. If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by the University s failure to use reasonable care and skill, the University will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by the University.
19. Disputes
19.1. If you are a consumer, please note that these terms of service, their subject matter and their formation, are governed by English law. We both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.
19.2. If you are a business, these terms of service, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
